These Terms of Service ("Terms") govern your use of the website and laboratory testing services provided by Island Testing & Technical Services LLC ("ITTS Labs," "we," "us," or "our"). By accessing our website or using our services, you agree to be bound by these Terms.

1. Services

ITTS Labs provides contract microbiology testing services for pharmaceutical, nutraceutical, dietary supplement, and cosmetic products. Our services include but are not limited to USP <61> and <62> testing, environmental monitoring, water testing, and preservative efficacy testing.

2. Sample Submission

When submitting samples for testing:

• You must provide accurate and complete information about the samples
• You represent that you have the authority to submit samples on behalf of your organization
• Samples must be properly packaged and labeled according to our guidelines
• You are responsible for shipping costs and any damage during transit
• We reserve the right to refuse samples that do not meet our acceptance criteria

3. Testing and Results

Regarding our testing services:

• Testing is performed according to specified methods (USP, FDA, etc.)
• Turnaround times are estimates and may vary based on testing requirements
• Results are provided via our secure client portal or as otherwise agreed
• Certificates of Analysis (COAs) represent the condition of samples at the time of testing
• Results are confidential and will not be shared without your authorization

4. Payment Terms

Unless otherwise agreed in writing:

• Payment is due within 30 days of invoice date
• Prices are subject to change with reasonable notice
• Rush services may incur additional fees
• We reserve the right to withhold results for overdue accounts

5. Intellectual Property

All content on our website, including text, graphics, logos, and software, is the property of ITTS Labs or our licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

6. Client Portal

Access to our client portal is subject to:

• Maintaining the confidentiality of your login credentials
• Using the portal only for legitimate business purposes
• Notifying us immediately of any unauthorized access
• Accepting that we may suspend access for security reasons

7. Limitation of Liability

To the maximum extent permitted by law:

• Our liability is limited to the fees paid for the specific testing services at issue
• We are not liable for indirect, incidental, or consequential damages
• We are not responsible for decisions made based on our test results
• We do not guarantee that our services will meet all regulatory requirements

8. Indemnification

You agree to indemnify and hold harmless ITTS Labs from any claims, damages, or expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

9. Confidentiality

We treat all client information and test results as confidential. We will not disclose your information to third parties except as required by law or with your written consent.

10. Regulatory Compliance

ITTS Labs operates in compliance with applicable regulations including FDA guidelines and cGMP requirements. However, you are responsible for ensuring that your products meet all applicable regulatory requirements.

11. Termination

Either party may terminate the service relationship with written notice. Upon termination, you remain responsible for payment of all services rendered.

12. Governing Law

These Terms are governed by the laws of the State of New York. Any disputes shall be resolved in the courts of Suffolk County, New York.

13. Changes to Terms

We may modify these Terms at any time. Continued use of our services after changes constitutes acceptance of the modified Terms.
